1. Introduction

We are SEVEN SEAS LINK PTE. LTD. (NextChat, we, us, the Services). These Terms of Service (together with any referenced policies or agreements, collectively referred to as the “Terms”) govern your access to and use of the App. By downloading, installing, registering, accessing, or using the App, you acknowledge that you have read, understood, and agreed to comply with these Terms. If you do not agree to these Terms or do not have the legal capacity to enter into a binding agreement, you are not authorized to use the App.

The APP is built with Llama 3.2 and Llama 3.3, along with other advanced large language models, to provide AI-powered services that generate responses and content based on the text, documents, and images you input in a dialogue format.

BEFORE USING THE APP, PLEASE REVIEW THESE TERMS THOROUGHLY, AS THEY OUTLINE ESSENTIAL LEGAL RIGHTS, OBLIGATIONS, AND AVAILABLE REMEDIES. BY PROCEEDING, YOU ACKNOWLEDGE AND AGREE TO RESOLVE MOST DISPUTES THROUGH BINDING ARBITRATION AND TO COMPLY WITH OUR POLICIES REGARDING APP USAGE, COPYRIGHT, AND INTELLECTUAL PROPERTY PROTECTIONS.

2. Use of the Services

To use our services, you must be at least 13 years old or meet the minimum age requirement for digital consent in your country. If you are under 18, you must have permission from a parent or legal guardian. If you are under 13 years old, or under 16 years old if you are an EU citizen or resident, you are not authorized to use the Services.

When registering for an account, you agree to provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Sharing your account information or allowing others to access your account is prohibited. If you create an account on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.

Third-Party Account Authentication

You may register or log in to our Services using supported third-party providers ("Authentication Services") such as Google or Apple. By using these Authentication Services:

(i) You expressly authorize us to receive your basic profile information as permitted by your account settings with the provider;

(ii) You acknowledge that your use of Authentication Services is governed by the respective provider's terms and privacy policy;

Prohibited Conduct:

(i) Creating multiple accounts through different Authentication Services to circumvent usage limits;

(ii) Using email aliases or forwarding services to artificially link unrelated accounts;

(iii) Transferring membership access to another individual via login sharing.

If you lose access to an Authentication Service, you may contact the third-party provider (Google/Apple) directly for account recovery.

3. Service Availability and Termination

We continually improve the Services, which may involve changes to features, algorithms, and the art style of the APP. However, we do not guarantee the quality, stability, uptime, or reliability of the Services, and you should not rely on specific attributes. The Services are provided "AS IS," without any warranties, and you are solely responsible for evaluating their suitability and assuming any associated risks.

We reserve the right to suspend or terminate your access to the Services at any time, for any reason. You may not use the Services to develop competitive products, reverse engineer the Services, or use automated tools to interact with or generate Assets. Redistribution, reselling, or sharing access to the Services is prohibited, and each user is allowed only one account.

Any attempt to infringe on intellectual property rights, including copyrights, patents, or trademarks, may result in penalties, such as legal action or permanent termination of access. We may investigate violations of this Agreement and report unlawful activity to authorities or disclose necessary user information as required.

4. Privacy Policy

Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Services, you consent to the collection and use of your data as described in the Privacy Policy. We may also preserve or disclose content and metadata if required by law or to comply with legal obligations, enforce these Terms, respond to third-party claims, or protect the rights and safety of the App and its users. 5.Prohibited Uses and Conduct

You may not use our services for any illegal, harmful, or abusive activities. This includes, but is not limited to, the following prohibited actions:

(i) Violating rights and laws: Infringing upon intellectual property rights, violating applicable laws or regulations, or misrepresenting your identity or affiliation.

(ii) Unauthorized access and data extraction: Reverse engineering, decompiling, or attempting to discover the underlying components of our services, including models and algorithms; using automated tools to extract data or outputs.

(iii) Interference and disruption: Circumventing security measures, bypassing rate limits, launching denial-of-service attacks, or otherwise disrupting the functionality of the Services.

(iv) Malicious activities: Uploading or distributing viruses, malware, spyware, or any code designed to harm or limit the functionality of the Services.

(v) Unauthorized use and distribution: Copying, leasing, selling, sublicensing, or distributing any part of the Services without explicit permission.

(vi) Competitive use: Using the Services or its outputs to develop competing models or services.

(vii) Harassment and misuse: Soliciting personal information from minors, collecting user contact details for unsolicited communications, or using the Services to harass, threaten, or intimidate others.

Any violation of these restrictions may result in suspension or termination of access, legal action, or further penalties.

6. User Content and Intellectual Property

You are solely responsible for any content you submit, upload, or share through our services ("User Content"), including text, images, audio, video, and other data. By providing User Content, you represent and warrant that you have all necessary rights, licenses, and permissions to do so and that your content does not violate any laws, these Terms, or third-party rights.

We do not endorse, verify, or control User Content and are not responsible for any consequences arising from its use or publication. You acknowledge that we have no liability for any User Content, including copyrightable materials, and that you must ensure your submissions do not infringe on the rights or privacy of others.

7.Payments and Billing

The App is free to download and offers both free features and premium subscription options. If you choose to subscribe, any subscription started during a free trial will automatically convert to a paid subscription unless canceled. Unused portions of a free trial (if available) will be forfeited upon purchasing a subscription. For current subscription terms, please refer to the App’s page on Apple.

Premium subscriptions renew automatically within 24 hours before the current period ends. You can disable auto-renewal at least 24 hours in advance through your App Store account settings. Payment is charged to your App Store account upon purchase confirmation, and active subscriptions cannot be canceled during the subscription period.

Managing your subscription is your responsibility. Deleting the App from your device does not cancel your subscription. Additionally, certain features or services within the App may be available through in-app purchases.

Payments will be charged to your App Store account upon purchase confirmation. Subscriptions automatically renew unless auto-renewal is disabled at least 24 hours before the current period ends. The renewal fee will be charged within 24 hours before the subscription period expires and will indicate the renewal cost.

Users can manage their subscriptions and disable auto-renewal at any time via their account settings after purchase. Any unused portion of a free trial (if available) will be forfeited upon purchasing a subscription. To avoid charges, free trials or subscriptions must be canceled at least 24 hours before the current period ends through the App Store account settings. The cancellation takes effect the day after the current subscription ends, downgrading the user to the free version.

All prices are subject to change without notice. Promotional pricing may be offered for a limited time as a reward or special opportunity. Due to the time-sensitive nature of promotions, we do not provide price protection, retroactive discounts, or refunds for previous purchases.

8.Termination

We reserve the right to suspend or terminate your account or access to the Services at our sole discretion with or without notice, for any reason, including inactivity or violations of these Terms. We may also discontinue the Services at any time and are not obligated to retain or provide access to your account or any associated data. Termination does not affect our rights to any content you have provided, and we are not liable for any consequences resulting from the termination of your access.

9. Third-Party Services

The Services may include links or access to third-party sites, resources, or applications. We do not control these third-party sites and are not responsible for their content, products, or services. Any interactions you have with third parties while using the Services are solely between you and the third party. You acknowledge and agree that we are not liable for any damage or loss resulting from reliance on content, goods, services, or events available on or through such third-party sites.

And you are responsible for reviewing and complying with their terms and privacy policies while using the Services.

10. Legal Compliance

You represent and warrant that: (i) the country in which you reside is not subject to a trade embargo by the United States government, nor is it designated by the United States government as a "State Sponsor of Terrorism"; and (ii) you are not listed on any U.S. government restricted or prohibited party list.

11. Indemnity and Liability

To the extent permitted by law, you agree to indemnify and hold harmless us, our affiliates, and our personnel from any costs, losses, liabilities, and expenses, including attorneys’ fees, arising from third-party claims related to your use of the Services and Content or any violation of these Terms. Neither we, nor our affiliates, licensors, or service providers, will be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, data, or use, even if we have been advised of the possibility of such damages. You are solely responsible for your use of the Services. We will not be involved in any disputes between you and third parties.

12. Disclaimers

Our services are provided on an “AS IS” and “AS AVAILABLE” basis. To the extent permitted by law, we and our affiliates and licensors make no warranties, express or implied, with respect to the Services and disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment. We do not guarantee that the Services will be uninterrupted, accurate, error-free, secure, or that any content will not be lost or altered.

You acknowledge and agree that your use of the Services is at your sole risk, and that you will not rely on any output from the Services as a sole source of truth or professional advice. We make no warranty that the Services will meet your requirements, be uninterrupted, secure, or error-free, or that the results will be accurate or reliable.

13. Dispute Resolution and Governing Law

This Agreement and all modifications and amendments thereto shall be governed by the laws of the State of New York, U.S.A., and shall be exclusively submitted to the jurisdiction of the competent courts of New York, USA.

14.Severability

If any part of this Agreement is deemed invalid, illegal, or unenforceable, the remainder of the Agreement will continue in full force and effect. Any unenforceable portion will be modified to the minimum extent necessary to make it enforceable, and if this is not possible, it will be severed, with the remaining provisions remaining in effect. A failure to enforce any of these Terms does not constitute a waiver. If any provision is declared void or unenforceable by a judicial or administrative authority, it will not affect the validity or enforceability of the remaining provisions, and the offending provision may be severed or amended as necessary to reflect the original intent.

15. Updates to the Terms

We are continually working to improve our services and may update these Terms or our services from time to time. We reserve the right to amend and update these Terms at our discretion. It is your responsibility to review this page periodically for any changes. Any updates will be posted on this page, and by continuing to use our services, you accept the updated Terms.
